01Services Overview
Socratic Systems provides AI automation consulting, diagnostic audits, and local marketing services to home service businesses. Services include but are not limited to: the Socratic Audit (diagnostic assessment), workflow automation, CRM configuration, and marketing strategy. The specific scope of each engagement is defined in a written proposal or service agreement signed by both parties.
02The Socratic Audit
The Socratic Audit is a diagnostic service designed to identify operational gaps and automation opportunities in your business. We deliver actionable findings and recommendations; however, the implementation of those recommendations and all resulting business outcomes remain the sole responsibility of the Client. Results may vary based on business complexity, team adoption, and conditions outside our control. The Audit does not guarantee specific revenue results or business growth.
03Payment Terms
- All fees are due as specified in your signed service agreement or proposal.
- Invoices are due within 14 days of issue unless otherwise stated in writing.
- Late payments accrue interest at 1.5% per month (18% per annum) on outstanding balances.
- Socratic Systems reserves the right to pause or terminate services for non-payment without further notice.
- Refunds are not issued for completed work. For ongoing subscription services, cancellation takes effect at the end of the current billing cycle.
- All fees are in Canadian dollars unless otherwise specified.
04Intellectual Property
All methodologies, frameworks, proprietary workflows, prompt systems, and custom software developed during our engagement remain the intellectual property of Socratic Systems unless explicitly transferred to the Client via a signed IP transfer agreement. Upon full payment, Clients receive a non-exclusive, non-transferable license to use deliverables for their own internal business operations.
You retain full ownership of your existing business data, content, branding, and operating systems. Nothing in these Terms transfers your pre-existing IP to Socratic Systems.
05AI Tools Disclosure
Socratic Systems uses artificial intelligence tools and platforms, including large language models, automation platforms, and AI-assisted research tools, as part of our service delivery. We are transparent about this. All AI-generated outputs are reviewed by our team before delivery to Clients. Final recommendations reflect our professional judgment, not AI outputs alone.
Client data used in AI-assisted processes is handled in strict accordance with our Confidentiality policy (Section 06). We do not use Client business data to train third-party AI models.
06Confidentiality & Data Handling
We treat all Client data, business details, and operational information with strict confidentiality. We will not disclose your proprietary information to third parties without your explicit written consent, except as required by applicable law.
In accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), we collect only the information necessary to deliver our services and store it securely. You may request access to, correction of, or deletion of your personal information at any time by contacting us in writing. We will respond to such requests within 30 days.
07Limitation of Liability
To the maximum extent permitted by applicable law, Socratic Systems' total liability for any claim arising from our services shall not exceed the total fees paid by the Client in the three (3) months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages: including but not limited to lost revenue, lost profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
08Warranties Disclaimer
Our services are provided "as is" and "as available." We make no warranty, express or implied, that our recommendations will achieve specific business results. We do not guarantee uninterrupted or errorless performance of third-party platforms: including GoHighLevel, n8n, Meta Ads, or other tools we may configure on your behalf, as these are outside our direct control.
09Termination
Either party may terminate an engagement with 30 days' written notice. Upon termination, the Client is responsible for payment of all work completed to the date of termination. Socratic Systems may terminate immediately and without notice for non-payment, material breach of these Terms, or conduct harmful to our team or reputation.
Upon termination, we will deliver all Client-owned assets and data in our possession within 14 business days.
10Governing Law & Dispute Resolution
These Terms are governed by the laws of British Columbia, Canada and applicable federal laws of Canada. Any disputes will first be addressed through good-faith negotiation between the parties. If unresolved within 30 days of written notice, disputes will be submitted to binding arbitration in Vernon, British Columbia, under applicable BC arbitration rules, before either party may pursue litigation.
11Amendments
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. Clients will be notified of material changes via email or through our website at least 14 days before changes take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
12Third-Party Booking via Calendly
Discovery calls booked through this site are scheduled using
Calendly (Calendly LLC), a third-party scheduling service based in the United States. By using our booking widget you also agree to Calendly's Terms of Use and Privacy Notice, available at
calendly.com/terms and
calendly.com/privacy. Calendly handles the calendar display, confirmation emails, and reminder notifications independently of Socratic Systems. Information you submit during booking (name, email, and any details you provide) is shared with Calendly to complete the scheduling. We are not responsible for outages, scheduling errors, or service interruptions of Calendly's platform.
13Entire Agreement
These Terms, together with any signed service agreement or proposal, constitute the entire agreement between you and Socratic Systems with respect to our services, superseding all prior discussions, representations, or agreements, written or verbal. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
